These Terms of Service are the contract between Ergodic s. r. o. ("we", "us"), the company that runs STOL at heystol.com, and the business that uses STOL to take bookings for its venues ("you", the Customer). Ergodic s. r. o. has its registered office at Bauerova 1205/7, 040 23 Košice, Slovakia, IČO 57859892, and is registered in the Commercial Register of the Municipal Court Košice, section Sro, insert 67484/V. You can reach us at support@heystol.com.
You accept these Terms when you sign up for STOL. If you sign up for a business, you confirm that you may act for it. Section 15 applies to Guests who book on a Venue's page.
How we handle personal data is in the Privacy Policy at heystol.com/en/privacy-policy. Section 12 is the data processing agreement for the Guest data you collect through STOL.
1. Words we use
- Venue: one place Guests book at, with its own public page, settings and Staff.
- Owner: the person who created a Venue and manages it for the Customer. Each Venue has exactly one Owner. The subscription belongs to the Owner's account.
- Staff: people the Owner invites to a Venue. They see its Board and Bookings and cannot change its settings.
- Guest: a person who books a table or a seat at an Event on a Venue's page. Guests need no account.
- Event: a dated happening at a Venue with a set number of seats, such as a cupping or a chef's table. A Ticket is a Guest's booking of one or more seats at an Event.
- Booking: a table reservation or a Ticket.
- Board: the live view of a Venue's Bookings that the Owner and Staff work from.
2. What STOL is and who it is for
STOL gives a Venue a booking page for tables and Events, the Board for its team, confirmation and reminder emails to Guests, and, on Plus, Tickets paid online.
STOL is sold to businesses only. By signing up you confirm that you use it for your business, not as a consumer.
Guests are your customers, not ours. A Booking is a contract between the Guest and the Venue. We provide the software the Venue uses to take it and are not a party to it.
STOL has no directory, search or ranking of Venues. Each Venue's page shows only that Venue. We do not market your offers through other channels or affiliate programmes.
3. Accounts and access
You sign in with a link or a code sent to your email, with Google, or with a passkey.
One account is for one person. Do not share a sign-in. Invite each person who works at the Venue as Staff; Staff accounts cost nothing.
The Owner decides who is Staff and removes people who leave. You are responsible for what your Staff do in STOL and for keeping the Guest data they see confidential.
Keep your email and devices secure. Tell us at support@heystol.com straight away if you think someone else has used your account.
We never sign in to your account. To help you when you ask, or to investigate a fault or misuse, our administrator can read your account's and your Venues' data in our admin tools.
4. API keys and AI assistants
The Owner can create API keys and connect AI assistants and other apps to STOL over MCP, in Settings, AI & API. A key or a connection acts for the Owner who created it and can do what that Owner can do, within any Venue or permissions it was limited to.
An AI assistant you connect acts on your instructions. What it does in STOL, including its mistakes, counts as done by you. Check what an assistant is about to do before you let it change Bookings, Events or settings. The assistant's provider sees the data the assistant reads.
Keep keys secret. A key is shown once; revoke it in Settings if it leaks. You can disconnect any connection at any time.
Use the API and MCP at a reasonable rate. We may limit or block traffic that puts STOL at risk.
5. Plans, free period and payment
Paid plans are not switched on yet. Until they are, STOL is free and every Venue can use what Plus includes. We will email every Owner at least 30 days before paid plans start, and nothing is charged unless you choose a plan and add a card. From then on, this section and section 6 apply.
Prices are per account, in euros and without VAT:
- Basic, €12 a month: one Venue, table reservations, free Events and Events paid at the Venue.
- Plus, €22 a month: up to 5 Venues, Tickets paid online, and statistics.
- Custom: price and scope agreed with us in writing, for a group of Venues or work built for you.
The pricing page on heystol.com lists what each plan includes.
The first 7 days from when you create your first Venue are free and need no card. If you add a card within those 7 days, the free period lasts 30 days from the same start. There is one free period per account; closing and reopening a Venue does not restart it.
When the free period ends, your plan is charged monthly in advance to your card until you cancel. Payments go through Stripe, which stores your card details; we never see them. If you add a card after the 7 days, the first month is charged at once.
You can move to a higher plan at any time; the difference for the current month is charged pro rata. You can move to a lower plan when your account fits it. Basic, for example, needs a single Venue and no upcoming Events sold online.
We add VAT where the law requires it. Invoices are in your billing settings.
We may change prices. We tell you by email at least 30 days before a new price applies to you, and it applies from your first billing period after that date. If you do not agree, cancel before then.
A written agreement for a Custom plan takes precedence over these Terms where the two differ.
6. Cancelling, refunds and lapsed accounts
You can cancel your subscription at any time in your billing settings. Your plan keeps working until the end of the period you have paid for. If you cancel during the free period, it ends when the free period ends.
We do not refund part of a month, unless the law requires it.
If a payment fails, Stripe tries again over the following days and STOL shows a notice. If the payment is still not made, the account lapses. An account also lapses when the 7 free days pass without a card, and when a cancelled plan runs out.
A lapsed account keeps its data. Nobody can make new Bookings, and you cannot add Events, series or Venues. Existing Bookings stay: Guests can still cancel free Bookings, you can cancel and refund paid ones, Staff can mark arrivals, and you can change settings and download your data. Choosing a plan restores the rest at once.
You can download every Booking of a Venue as a CSV file at any time. To close your account and have your data deleted, see section 13.
7. Payments from Guests
On Plus, a Venue can sell Tickets paid online. For that the Owner connects the Venue's own Stripe account, and every payment goes directly to that account. The money never passes through us.
The Venue is the seller. It sets its prices and refund window, pays Stripe's fees, issues any receipts and tax documents the law requires, handles disputes and chargebacks, and pays its own taxes.
Refunds are the Venue's decision. A Guest cannot cancel a paid Ticket in STOL; they ask the Venue. When the Venue cancels an Event in STOL, it chooses whether STOL refunds the paid Tickets through Stripe from the Venue's Stripe balance. The Venue can also refund any payment in its own Stripe dashboard. STOL never refunds on its own.
We take no fee from Ticket sales. If we introduce one, we tell you by email at least 30 days ahead, and it applies only to sales made after it starts.
Payment processing for Venues on STOL is provided by Stripe and is subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (together, the "Stripe Services Agreement"). By connecting Stripe in STOL you agree to the Stripe Services Agreement, as Stripe may change it. You agree to give us accurate information about you and your business and allow us to share it, and the transactions made through STOL, with Stripe.
Stripe decides whether to open and keep a Venue's account. We are not responsible for Stripe's service, fees or decisions.
8. Your Venue and your content
You are responsible for your Venue's page and everything you publish through STOL: name, contact details, photos, logo, Event descriptions, terms and prices. It must be accurate and lawful, and yours to use.
You run your Events and serve your Guests. You are responsible for what you offer them, for honoring Bookings, and for your own terms, including cancellations and refunds.
Towards Guests you are the trader. Give them what consumer law requires before they book or pay, such as who you are, your address, the total price with taxes, and your cancellation and refund terms. Your Venue's page and your Event descriptions are where STOL shows them. A booking of a leisure service for a specific date is exempt from the 14-day right to withdraw from distance contracts (Article 16(l) of Directive 2011/83/EU), so your own terms decide on refunds; nothing in STOL changes that.
You decide which Guest details to ask for. You need a legal basis to collect them and must tell Guests how you use them in your own privacy notice. Ask for a dietary note only if you need it and use it only to serve the Guest, because it can reveal health or religious information, which the GDPR protects more strictly.
Your content stays yours. You give us a non-exclusive, royalty-free license to host, copy, resize and show it, worldwide, only to run STOL for you and for as long as it is in STOL. Your page and Guest emails carry a small Powered by STOL mark.
STOL, its software, design and name stay ours. You get the right to use STOL under these Terms and nothing more. If you send us ideas, we may use them without owing you anything.
9. Acceptable use
You and your Staff must not:
- use STOL for illegal events, goods or services;
- send spam or unsolicited messages through STOL;
- scrape, crawl or harvest data from STOL or from other Venues' pages;
- probe, overload or attack STOL, get around its limits, or access data that is not yours;
- resell, rent or give access to STOL to others without our written agreement;
- upload malware, or content that is unlawful or infringes someone else's rights;
- create fake Bookings or pretend to be someone else.
We may remove content or restrict access that breaks these rules, as section 13 describes.
10. The service
We provide STOL as it is and as available. We work to keep it running and secure, but we do not promise that it is free of faults or always online, and we offer no service level agreement.
STOL sometimes needs maintenance. When we expect it to interrupt the service, we tell you ahead when we can.
We keep improving STOL, so features change and some are removed. If we remove something your paid plan is built around, we tell you at least 30 days ahead, and you may cancel and get back what you paid for the unused time.
STOL emails Guests and Staff through an email provider. We cannot promise that every message arrives, for example when an address is wrong or a mailbox rejects it.
Support is by email at support@heystol.com. We answer as soon as we reasonably can.
11. Personal data
For data about you, your Staff and visitors to heystol.com, we are the controller. The Privacy Policy at heystol.com/en/privacy-policy explains what we collect and why.
For the Guest data a Venue collects through STOL, the operator of the Venue is the controller and we are its processor. Section 12 sets out how we process it.
For each Venue we keep one record per Guest email address (name, email, phone and language), as part of the Guest data we process for that Venue. Venues never share these records or see each other's. We also keep data we need to keep STOL secure, which the Privacy Policy explains.
Who sees which data. You and your Staff see your Venues' Bookings, Guest details, Activity and statistics, and the Owner can export every Booking as a CSV file, also after the account lapses and until the data is deleted under section 13. We access this data only to run and support STOL and use only anonymous totals, such as how many Bookings STOL takes, to improve it. We do not give your data to other Venues or to third parties, except the subprocessors in section 12, what you connect yourself, and authorities when the law requires it.
12. Data processing agreement
This section is the agreement under Article 28 of the GDPR between you as controller and us as processor. It covers the Guest personal data we process for you and takes precedence over the rest of these Terms for that data.
What we process. Your Guests' names, email addresses, phone numbers, party sizes and dietary notes, their Bookings and their history, where they came from before booking, and payment status and amounts. A dietary note can reveal health or religious beliefs. We never receive card numbers; Stripe handles them.
Why and for how long. Only to run STOL for you: show your booking page, store and change Bookings, show them on the Board and in statistics, send Guests confirmation, reminder and change emails, take and refund online payments, and export your data. We process it while you use STOL and until it is deleted under section 13.
Your instructions. These Terms, your settings and what you and your Staff do in STOL are your instructions. We follow no others unless the law requires it, and then we tell you first unless the law forbids that. We tell you if we think an instruction breaks data protection law.
Confidentiality and security. Everyone who can access Guest data on our side is bound to confidentiality. We protect the data with appropriate technical and organizational measures, including encryption in transit, each Venue's data kept apart by the database itself, access limited to those who need it, and API keys stored only as hashes.
Subprocessors. You allow us to use these subprocessors:
- Neon (database, hosted in Frankfurt, Germany);
- Vercel (hosting of the application in Frankfurt, Germany, and of images);
- Resend (email delivery, from Ireland);
- Upstash (rate-limit counters, holding only keyed hashes of IP addresses);
- Google (our support mailbox, only for Guest data that you or a Guest send us by email).
Stripe processes Guests' payments under your own agreement with Stripe (section 7), not as our subprocessor. We send it only the Event's name, the price and our reference for the Ticket.
We tell you by email at least 14 days before we add or replace a subprocessor. If you object on reasonable data protection grounds and we cannot resolve it, you may end the contract and we refund what you paid for the unused time. Each subprocessor is bound to data protection duties no weaker than these, and we remain responsible for it.
Transfers. Some subprocessors are based in the United States or may access data from there. Where data leaves the European Economic Area, we rely on the EU-US Data Privacy Framework or the European Commission's standard contractual clauses.
An AI assistant or app you connect is your choice, not our subprocessor. Its provider receives the data it reads on your instruction.
Helping you. We help you answer Guests who exercise their rights and pass on to you any such request that reaches us. You can find, change, cancel and export Bookings yourself in STOL. STOL has no button yet to delete a Guest or a Booking: ask us at support@heystol.com and we delete it within 30 days. Where reasonable, we also help you with security, breach notifications and impact assessments.
Breaches. We tell you without undue delay after we learn of a personal data breach affecting your Guests, with what we know and what we are doing about it.
End of processing. When the contract ends, we delete Guest data as section 13 describes, unless the law requires us to keep it. Export it first if you need it.
Audits. We give you the information you need to show that this section is met. If that is not enough, you or an independent auditor bound to confidentiality may audit us, with 30 days' notice, at your cost, and at most once a year unless a breach or an authority requires more.
13. Suspension and termination
You can end the contract at any time. Download your data first. Then delete each Venue you own at the bottom of its Settings, cancel a plan that still renews in Manage billing, and delete your account on the account page. A Venue cannot be deleted while it takes table bookings, has Events on offer, has Bookings that are not over, holds money paid online for an Event that has not ended, or has mail to its Guests on its way; STOL lists what stands in the way before you start. You can also write to support@heystol.com and we close the account for you.
We may suspend or restrict a Venue, an account or a piece of content, fully or in part, when that is needed to stop a breach of these Terms, illegal activity or content, harm to Guests or others, or a risk to STOL's security. Where we can, we warn you first and give you time to fix it. Non-payment makes an account lapse, as section 6 describes; it does not delete anything.
When we restrict anything, we email the Owner a statement of reasons no later than when it takes effect: what we restricted and for how long, the facts behind it, the rule in these Terms or the law it is based on, whether a report from someone else led to it, and how to contest it. We leave this out only where the law forbids it or it would defeat a security measure. Reply to contest the decision; we look at it again, answer without undue delay, and restore access once the cause is removed. You can also go to court.
We may end the contract with immediate effect after a serious or repeated breach of these Terms, telling you why. We may also end it for another reason, which we tell you, such as closing STOL, with at least 30 days' notice by email, and then refund what you paid for the time after the end.
When you delete a Venue or your account in STOL, it goes at once: the Venue's Bookings, Guest data, Events, Activity and settings, or your sign-in, passkeys, API keys and AI connections. Your Venue's own Stripe account and its records stay at Stripe. When you ask us instead, we delete your account, your Venues and their Guest data within 30 days. If an account stays lapsed for 12 months, we may delete it after warning the Owner by email at least 30 days ahead. Backup copies disappear as the backups expire. We keep what the law requires us to keep, such as invoices.
Parts of these Terms that by their nature apply after the end, such as payments owed, liability and the governing law, keep applying.
14. Liability
We are liable for damage we cause by breaching these Terms, within the limits below.
We are not liable for Guests who do not show up or who cancel, for your Events and how you run them, for disputes between you and your Guests, or for services we do not control, including Stripe, email delivery, internet connections and the AI assistants and apps you connect.
We both agree that the damage we could foresee when this contract was made (§ 379 of the Commercial Code) is at most the fees you paid us for STOL in the 12 months before the event that caused it, and does not include lost profit, lost revenue or other indirect or consequential damage.
These limits do not apply to damage caused intentionally or through gross negligence, or where the law does not allow liability to be limited.
You are liable to us for damage caused by your breach of these Terms, and you cover our costs of claims by Guests or others that arise from your Events, your content or your use of Guest data.
Neither side is liable for a failure caused by events beyond its reasonable control, such as outages of power, networks or providers, or orders of authorities.
15. For Guests
This section is for people who book on a Venue's page. You need no account and pay STOL nothing.
Your Booking is with the Venue. The Venue decides what it offers, its prices, its terms and its refund window, and is responsible for the Event and for serving you. Questions about a Booking go to the Venue, whose contact details are on its page and in your confirmation email.
Payment for a Ticket goes straight to the Venue through Stripe. While you pay, your seats are held for 30 minutes.
You can cancel a free Booking from the link in your email. Anyone with that link can do the same, so keep it to yourself. A Ticket you paid for online is cancelled by the Venue: contact it through the details on the page, and it decides on a refund under its own rules.
If the Venue cancels an Event, we email you. Whether you get your money back is the Venue's decision; if it refunds, the money returns to the card you paid with.
The 14-day right to withdraw from a contract made online does not apply to a booking of a leisure service for a specific date, so the Venue's terms and the law decide on cancellations and refunds.
Give true details, book only seats you mean to use, and do not book to resell or to block seats. Do not scrape or attack the page. We may block access that breaks these rules.
The Venue is responsible for the details you give it. How STOL processes them is in the Privacy Policy at heystol.com/en/privacy-policy.
To report something on a Venue's page that you believe is illegal, see section 16.
Nothing in these Terms limits your rights as a consumer against the Venue.
16. Illegal content, reports and contact points
Our single point of contact under Articles 11 and 12 of the Digital Services Act (Regulation (EU) 2022/2065), for authorities of the Member States, the European Commission, the European Board for Digital Services and for anyone who uses STOL, is support@heystol.com. Write to us in Slovak or English. A person reads and answers every message.
Anyone can report content on STOL they believe is illegal, such as a Venue's page, an Event or a photo, by email to that address. Include why you believe it is illegal, the exact link to it, your name and email address (not needed for a report of child sexual abuse material), and a statement that you believe in good faith that the report is accurate and complete.
We confirm that we received the report, look at it diligently and without bias, and tell you what we decided and how you can seek redress. People make these decisions; we use no automated content moderation. Automatic limits on how many requests an address may send, and filters for known bots, apply to everyone to keep STOL working.
If we remove or restrict content or an account, the Owner gets a statement of reasons as section 13 describes. Complaints about any decision of ours go to the same address, and we answer them without undue delay.
If we learn of anything that suggests a criminal offence threatening someone's life or safety, we inform the police.
17. Changes to these Terms
We may change these Terms. We email the Owner at least 30 days before a change that affects your rights or what you pay takes effect, and at least 15 days before any other change. A change takes effect sooner only when the law requires it or to deal with an unforeseen and imminent danger to STOL, its users or Guests, such as fraud or a security threat.
If you do not agree, you may end the contract before the change takes effect, at no cost. If you keep using STOL after that date, you accept the change.
The date at the top of this page shows the last change.
18. Law, disputes and final provisions
These Terms are governed by Slovak law, in particular the Commercial Code (Act No. 513/1991 Coll.). The UN Convention on Contracts for the International Sale of Goods does not apply.
We will first try to settle any dispute with you directly. If we cannot, the courts of the Slovak Republic competent for our registered office in Košice decide it.
These Terms exist in Slovak and English. If the two differ, the Slovak version applies.
If a part of these Terms is invalid, the rest stays in force, and the invalid part is replaced by a valid rule closest to its purpose.
We may transfer this contract to a company that takes over STOL, and we tell you by email when we do. You may transfer it only with our consent.
We send notices to the email address of the Owner's account. Send yours to support@heystol.com.
These Terms, with the data processing agreement in section 12, and any written Custom plan agreement are the whole agreement between you and us about STOL. The Privacy Policy explains how we handle personal data.
